Statement from Jim Hammock, HOA President


Over the past several weeks, the Woodridge Forest HOA became aware of a 1% “reconveyance” or “private transfer” fee after a resident encountered it while selling their home. This fee was not discovered through HOA operations, but rather through a home sale and related title documents.


After reviewing the HOA governing documents in detail, I want to be clear:


This fee is NOT an HOA fee.
The HOA does not collect it, does not benefit from it, and did not create it.


What this fee is

  • The fee was put in place years ago by developers, outside of the HOA governing documents.
  • It appears in separate, older recorded covenants, not in the Woodridge Forest HOA Declaration, By-Laws, or Design Guidelines.
  • The fee is calculated as 1% of the home’s sale price and is triggered at resale.
  • Under Texas law, this type of private transfer fee is generally void and unenforceable unless it meets very narrow statutory exceptions.


Who actually receives this money

The HOA receives nothing from this fee. Based on the recorded documents, the fee is collected and distributed by private third parties, including:

  • Covenant Clearinghouse, LLC (collector / trustee)
  • Woodridge Residential, L.P.
  • TVMS Land Investment, Inc.
  • Northpointe, Ltd.
  • Frehold Licensing, Ltd.

Again, none of these entities are the HOA.


What the HOA is doing now

The HOA Board is actively acting on this information to protect homeowners and prevent this fee from continuing to appear in closings. Actions underway include:


  • Formal board action and documentation
  • Coordination with legal counsel
  • Steps to place title companies on notice that this fee is not an HOA obligation and is void under Texas law


Updates will be provided as this work progresses.


Important Guidance for Home Sellers


If you are selling your home:


DO:

  • Read your title commitment carefully.
  • Question any “reconveyance,” “private transfer,” or “1% fee” listed.
  • Object in writing and ask the title company to identify the legal authority for the fee.
  • Contact the HOA if this fee appears so we can assist with guidance.


DO NOT:

  • Assume this is an HOA requirement (it is not).
  • Assume it must be paid just to close.
  • Pay the fee without first asking questions or raising an objection.
  • Let anyone tell you “the HOA requires this” — that is incorrect.


Many sellers are able to avoid paying this fee by formally objecting and requiring the title company to insure over it, consistent with Texas law.


Final Clarification


The Woodridge Forest HOA:

  • ❌ Did not create this fee
  • ❌ Does not collect it
  • ❌ Does not receive any benefit from it
  • ❌ Does not require sellers to pay it

The HOA’s role is to protect homeowners, and that is exactly what we are doing.
